Client Service Agreement

1Purpose

The promotional fee is ₦70,000 (Seventy Thousand Naira), subject to the services and conditions contained in this Agreement.

2Services Included

• Professionally designed responsive business website of up to five (5) pages.
• One (1) year domain registration, subject to availability and registrar rules.
• One (1) year web hosting managed by Hemjey.
• Reasonable Google Business Profile setup and verification assistance.
• Business consultation expressly included in the promotional offer.

3Services Outside Scope

Additional pages, APIs, payment integrations, booking systems, e-commerce, custom applications, advanced databases, CRM integrations, premium plugins, third-party subscriptions, advanced SEO, custom dashboards and other features not expressly included may attract additional charges. Hemjey will communicate additional charges before undertaking chargeable work.

4Client Responsibilities

The Client shall provide accurate business information, content, images, access and approvals reasonably required for the project and warrants that supplied materials may lawfully be used.

5Delays

Hemjey is not responsible for delays caused by the Client's failure to provide required information, materials, access, approvals or cooperation.

6Website Ownership

Subject to full payment, the completed website developed specifically for the Client is provided for the Client's business use. Hemjey retains its pre-existing intellectual property, reusable code, frameworks, systems, tools and methodologies. Third-party materials remain subject to their respective licences.

7Hosting & Domain Renewal

Hosting and domain registration included in the offer are for one year only. Continued hosting and domain renewal after the included period require renewal at the applicable prevailing fees.

8Third-Party Services

Google, domain registrars, hosting providers, payment providers, APIs, plugins and other platforms are independent third parties. Hemjey does not guarantee third-party availability, verification, ranking, policy decisions or continuity.

9Delivery & Acceptance

Hemjey shall use reasonable efforts to complete the website after receiving required information, materials and approvals. Material corrections within scope may be communicated by the Client within a reasonable review period.

10Failure to Perform

If the Client believes Hemjey has materially failed to provide an expressly included service, the Client shall provide written notice describing the issue and allow a reasonable opportunity to investigate and remedy it, subject to applicable law.

11Limitation of Responsibility

To the extent permitted by applicable law, Hemjey is not responsible for indirect or consequential losses arising from third-party failures, inaccurate Client information, unlawful Client activity, compromised credentials, cyber incidents beyond reasonable control or force majeure.

12Confidentiality

Each Party shall use reasonable efforts to protect confidential business information received from the other Party, except where disclosure is required by law or reasonably necessary to perform this Agreement.

13Termination

Either Party may terminate for material breach where the breach is not remedied after reasonable written notice. Hemjey may suspend services for non-cooperation, unlawful requests, material breach or failure to pay approved additional charges.

14Refunds

Any refund shall be considered in light of work completed, the circumstances giving rise to termination and applicable Nigerian law. Mandatory statutory rights are not excluded.

15Dispute Resolution

The Parties shall first attempt to resolve disputes amicably and in good faith. If unresolved, either Party may seek appropriate remedies before a court of competent jurisdiction in Nigeria, subject to applicable Nigerian law.

16Governing Law

This Agreement is governed by the laws of the Federal Republic of Nigeria, subject to applicable statutory and regulatory requirements.

17Entire Agreement & Severability

This Agreement and any written scope accepted by both Parties constitute the agreement concerning the promotional services. If any provision is unenforceable, the remaining provisions shall continue to the extent permitted by law.

18Client Acknowledgement

The Client confirms that the Client has read and understood the Agreement, understands the ₦70,000 scope and possible additional charges, understands the one-year hosting/domain terms, understands that Google independently controls verification and agrees to provide required information and comply with this Agreement.
